Alibaba.com Super September Purchasing Promotion – Terms & Conditions (the “Official Rules”)

 

These Terms & Conditions apply to all the promotional campaigns or events of the Super September Purchasing Promotion run by Alibaba.com (the “Event”).  Unless otherwise provided in the specific terms and conditions for each Event, the terms and conditions under the Official Rules apply to all the Events. 

1. Event Promoter: Alibaba.com Singapore E-Commerce Private Limited, a company incorporated in Singapore with a registered office address at 10 Collyer Quay # 10-01, Ocean Financial Centre, Singapore 049315 (the “Promoter”).

2. Disputes: The participant acknowledges and agrees that the Promoter or any of its affiliates shall not be responsible, and shall have no liability to it or anyone else for any dispute or claim that arises out of the participant’s participation in the Event.

3. Eligibility: Unless otherwise specified, Participants must be a registered member of Alibaba.com. Employees, officers and directors of the Promoter and their respective immediate family members, affiliated and subsidiary companies, any company involved in the Events, together with their agents are not eligible to enter. For the avoidance of doubt, registered members of Alibaba.com with the same IP address, shipping address, identification documents, device etc. will be considered the one and same registered member.

4. General Rules: 

1. By participating in the Event, the participant agrees to be bound by these Official Rules.  The Promoter is not responsible for any late, lost, delayed, incomplete, illegible, misdirected or undeliverable entries, responses, or other correspondence, whether by e-mail or otherwise.  The Promoter reserves the right in it sole and absolute discretion to cancel, modify or suspend the Official Rules or the Event in whole or in part, without liability to the participant. The amended and restated Official Rules shall be effective immediately upon posting on the Alibaba.com website.  After posting of the amended and restated Official Rules, the participant’s continued participation in the Event shall be deemed to be its acceptance of the amended and restated Official Rules.  The Promoter reserves the right to disqualify any participant in its sole discretion.
2. The Promoter reserves the right and absolute discretion to cancel or revoke any participant’s right to participant in an Event upon discovery of any participant’s dishonest, malicious, fraudulent, unlawful or, in the opinion of the Promoter, inappropriate acts in its participation in the Campaign without liability to the participant.

5. Disclaimer: To the maximum extent permitted by law, in no event shall the Promoter be liable to any participant for any direct, indirect, special, incidental, exemplary, punitive or consequential damages (including loss of use, data, business or profits) arising out of or in connection with the participant’s participation in the event, whether such liability arises from any claim based upon contract, warranty, tort (including negligence), strict liability or otherwise, and whether or not Promoter has been advised of the possibility of such loss or damage.

6. Governing Law:  The participant agrees that this Event is governed, interpreted and enforced by the laws of Hong Kong, without regard to its conflict of laws principles. Any and all legal actions, claims or proceedings arising out of, or in connection with this Event must be brought in a court of competent jurisdiction in Hong Kong.

 

 

“Instant Discount on Initial Payment”

1. Promotion: During the Promotion Period, registered members of Alibaba.com entering into a Trade Assurance Services Purchase Contract for the first time with an Initial Payment of US $1000 and above (“Applicable Order”) will enjoy a 2% instant discount on the Initial Payment (“Instant Discount”) (capped at US $200).
2. Promotion Period: The promotion begins September 12, 2016 at 00:00:00 AM PDT and ends September 30, 2016 at 11:59:59 PM PDT (the “Promotion Period”).
3. Eligibility: Participants must be a registered member of Alibaba.com entering into a Trade Assurance Services Purchase Contract for the first time. Employees, officers and directors of the Promoter and their respective immediate family members, affiliated and subsidiary companies, any company involved in the Campaign, together with their agents are not eligible to enter.
4. Terms and Conditions:
   1. Instant Discounts are awarded to the first 8600 registered members who place an Applicable Order, first come first served.
   2. Each registered member may enjoy the Instant Discount once only.
   3. To enjoy the Instant Discount:
   4. full payment of the Initial Payment of the Applicable Order must be made within the Promotion Period (Initial Payments made via Telegraphic Transfer and e-Checking must be received by the designated beneficiary bank Citibank, N.A., Hong Kong Branch by September 30, 2016 at 11:59:59 PM PDT). For the avoidance of doubt, any payment received outside of the Promotion Period will not enjoy the Initial Discount;
   5. the Applicable Order must be shipped by January 31, 2017 11:59:59 PM CST, failing which Alibaba.com reserves the right to chargeback the Instant Discount.
5. The Instant Discount is capped at US$200 and cannot be refunded, transferred, or exchanged for any gifts, cash, any other cash equivalents in any value.

 

 

 “Free Inspection Service” Promotion

1. Promotion: During the Promotion Period, registered members of Alibaba.com entering into a Trade Assurance Services Purchase Contract with an Initial Payment of US$10,000 and above (“Applicable Order”) will enjoy one free inspection service on the order by China Certification & Inspection Group Beijing Co., Ltd. for inspection services conducted in Mainland China prior to shipment only (“Free Inspection Service”).
2. Promotion Period: The promotion begins September 12, 2016 at 00:00:00 AM PDT and ends September 31, 2016 at 11:59:59 PM PDT (the “Promotion Period”).
3. Eligibility: Participants must be a registered member of Alibaba.com entering into a Trade Assurance Services Purchase Contract. Employees, officers and directors of the Promoter and their respective immediate family members, affiliated and subsidiary companies, any company involved in the Campaign, together with their agents are not eligible to enter.

5. Free Inspection Service is available to the first 1500 registered members who place an Applicable Order, first come first served.
6. Free Inspection is applicable to Alibaba.com Trade Assurance orders prior to shipment only. It is not applicable to inspections relating to Alibaba.com Trade Assurance disputes.
7. To enjoy the Free Inspection Service, full payment of the Initial Payment of the Applicable Order must be within the Promotion Period (Initial Payments made via Telegraphic Transfer and e-Checking must be received by the designated beneficiary bank Citibank, N.A., Hong Kong Branch by September 30, 2016 at 11:59:59 PM PDT). For the avoidance of doubt, any payment received outside of the Promotion Period will not enjoy the Free Inspection Service;
8. Once an Applicable Order is placed and after full payment of the Initial Payment is made, a Free Inspection Service order will be automatically placed at http://inspection.alibaba.com. The inspection company will contact eligible Participants directly via telephone and/or email to arrange inspection, confirm the inspection time and other information. The Free Inspection Service is valid between September 12, 2016 at 00:00:00 AM CST and January 31, 2017 at 11:59:59 PM CST (“Service Period”), after which it will expire. Failure to arrange or confirm the inspection with the inspection company will be deemed as the Participant’s forfeiture of the Free Inspection Service. Unused Free Inspection Service orders will lapse and cannot be refunded or exchanged for anything.
9. The Free Inspection Service is provided by China Certification & Inspection Group Beijing Co., Ltd. for inspection services conducted in Mainland China only (excluding Inner Mongolia, Qinghai, Gansu, Tibet and Xinjiang).  
10. In the event an Applicable Order is cancelled, closed or terminated for any reason, the Free Inspection Service will automatically become void.
