4. How to use the free inspection service?

1. Confirm a Trade Assurance order and finish the full payment of the Initial Payment during January 9 00:00:00 - March 31 23:59:59(PST). The order amount must be more than US $3000.
2. Once an Applicable Order’s full payment of the Initial Payment is made, your information (including name and email) will be shared to the inspection company.
3. The inspection company will contact you for your inspection needs.
4. The Inspection Service can only be used on Trade Assurance-enabled orders.

5. Where can the inspection service be conducted?

The Inspection Service is conducted in The People's Republic of China only (excluding Chongqing, Guizhou, Hainan, Heilongjiang, Jilin, Ningxia, Inner Mongolia, Qinghai, Tibet, the Gansu, Sichuan and Xinjiang Provinces).

BEFORE PARTICIPATING IN THE COMPETITION, YOUR ATTENTION IS DRAWN TO THE FOLLOWING TERMS AND CONDITIONS ("TERMS") THAT APPLY TO THIS PROMOTION AND THE INSPECTION SERVICE (AS DEFINED BELOW) DISTRIBUTED PURSUANT TO THESE TERMS:

1. Promoter: Alibaba.com Singapore E-Commerce Private Limited, a company incorporated in Singapore and having its registered office at 10 Collyer Quay #10-01, Ocean Financial Centre, Singapore 049315 (the "Promoter").

2. Eligibility: You must be registered as a free member on Alibaba.com (URL: http://www.Alibaba.com) (the "Alibaba.com Platform"), resident and/or located outside of the People’s Republic of China and have successfully log onto the Alibaba.com Platform (each, a "Participant"). Employees, officers and directors of the Promoter and their respective immediate family members, affiliated and subsidiary companies, any company involved in the Promotion, together with their agents are not eligible to participate in the Promotion. For the avoidance of doubt, registered members of Alibaba.com with the same IP addresses, shipping addresses, identification documents, etc. will be considered the one and same registered member for purposes of this Promotion.

3. Promotion Period: The Promotion Period starts on 9 January 2017 at 00:00:00 PST and ends on 18 January 2017 at 23:59:59 PST. 

4. Rules:

1. Once successfully logged onto the Alibaba.com Platform, Participants shall click to enter the Promotion landing page (the "Promotional Page") through the URL: [https://activity.alibaba.com/page/vote-for-new-Trade-Assurance-features.html] and vote for their most preferred Trade Assurance function out of the following - namely [50% Off Inspection Service], [Quick Dispute Resolution] (each, a "Proposed TA Function" and collectively, the "Proposed TA Functions"). Each Participant who submits a successful vote shall be entitled to one (1) complimentary inspection service session conducted on the Trade Assurance-enabled purchase which is undertaken by such Participant on the Alibaba.com Platform (the "Inspection Service"). By successfully voting for their most preferred Proposed TA Function by clicking on the relevant tab below it, each Participant would be deemed to have agreed to participate in this Promotion, subject to these Terms. Participants are not allowed to change and/or amend their option once they have voted for one of the two (2) Proposed TA Functions. Participation is only limited to one (1) time per participant. Accordingly, each Participant is only allowed to vote once. The specific Proposed TA Function which receives the most number of votes during the Promotion Period will be considered by the Promoter during the next time they launch a new Trade Assurance Feature on the Alibaba.com Platform.
2. The Promoter shall send to the registered email addresses of each of the Participants, an acknowledgement of their participation and details of how they may claim the one (1) complimentary Inspection Service, when undertaking any Trade Assurance-enabled orders on the Alibaba.com Platform. Usage of the Inspection Service shall be subject to the terms and conditions contained in Paragraph 5 of these Terms.

5. Terms and Condition of the Inspection Services

1. The complimentary Inspection Service can only be used on Trade Assurance-enabled orders undertaken on the Alibaba.com Platform (each, an "Eligible Order") whereupon the value of the order is at least United States Dollars 3,000. In addition, only orders whereupon the supplier is located within The People’s Republic of China (excluding Chongqing, Guizhou, Hainan, Heilongjiang, Jilin, Ningxia, Inner Mongolia, Qinghai, Tibet, the Gansu, Sichuan and Xinjiang Provinces as well as such other regions which the Promoter may from time to time determine and announce on the Alibaba.com Platform) shall be considered as an Eligible Order whereupon the Inspection Service can be utilized towards.
2. The Inspection Service session shall be provided by a third-party vendor, Bureau Veritas Consumer Products Service Co., Ltd (the "Inspection Company").
3. The validity period of Inspection Service received by all Participants is from 19 January 2017 at 00:00:00 PST and ends on 30 May 2017 at 23:59:59 PST. Accordingly, Participants must confirm their orders and must ensure that the initial payment for the order is received at the bank account designated in the order before 31 March 2017 at 23:59:59 PST.
4. The Inspection Service can only be utilized towards Eligible Orders before such orders are shipped out from the supplier and cannot be utilized towards inspections relating to trade disputes arising between suppliers and Participants.
5. The data and information recorded in the system of Alibaba.com shall serve as conclusive evidence and basis for determination of the above.
6. Each participant agrees that all information relating to each Qualifying Order shall be shared by the Promoter with the Inspection Company for purposes of the transactions contemplated herewith.
7. In the event any Qualifying Order fails to be inspected pursuant to the Inspection Service due to reasons, including but not limited to the order not being shipped out in time, being cancelled, terminated or suspended due to the fault of the Participant, the Participant shall agree to forfeit its rights pursuant to such Inspection Service and the Promoter shall not be obliged to compensate the Participant in respect of its forfeiture.
8. The decision of the Promoter shall be final and determinative in determining which party’s fault it was that caused the Qualifying Order to be cancelled, terminated or suspended.
9. The Inspection Service cannot be exchanged for cash and cannot be refunded and shall lapse at the end of its respective validity period.

 Undertakings

By using the Inspection Service, you agree and undertake that you will:

1. not provide any untrue, falsified, incorrect, incomplete, misleading, fraudulent, or unlawful information to the Promoter;
2. not use or distribute any computer viruses or other destructive devices and codes that may harm, interfere with, intercept or expropriate any software or hardware system, data or personal information;
3. not gain or attempt to gain unauthorized access to the computer systems or networks used by the Promoter and/or any user of any designated websites or engage in any other activities that may harm the integrity of such computer systems or networks;
4. not carry on activities on the Alibaba.com Platform that are not in compliance with any laws and regulations; and
5. not take any action which may undermine the integrity of the feedback system of the Alibaba.com Platform, such as leaving positive feedback for himself using secondary member IDs or through third parties or by leaving unsubstantiated negative feedback for another member.

Representations, Warranties and Covenants

By using the Inspection Service, you represent, warrant and covenant (as applicable) to the Promoter that:

1. any and all information you provide to the Promoter pursuant to your application for and use of the Inspection Service is and will remain true, accurate, complete, lawful and valid;
2. you have and will continue to, at all times during your use of Inspection Service and related services, abide by all relevant rules, polices, privacy policy and terms of use published on the Alibaba.com Platform;
3. you have not infringed and will not infringe the legitimate rights of any third parties, including but not limited to the intellectual property rights, property ownership right and any third parties pursuant to your use of the Inspection Service and any related services; and
4. your use of Inspection Service complies or will comply with any and all applicable laws and regulations in any applicable jurisdiction.

Indemnification

By using this Inspection Service, you agree to indemnify the Promoter and its affiliates and their respective employees, agents and representatives and to hold them harmless, from any and all losses, damages, actions, claims and liabilities (including legal costs on a full indemnity basis) which may arise, directly or indirectly, from your breach of any of these Terms pursuant to your use of or attempt to use the Inspection Service. Alibaba.com reserves the right, at its own expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you, in which event you shall cooperate with Alibaba.com in asserting any available defenses.

6. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, THE PROMOTER SHALL NOT BE LIABLE FOR ANY INDIRECT, CONSEQUENTIAL, INCIDENTIAL, SPECIAL OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION DAMAGES FOR LOSS OF PROFITS OR REVENUES, BUSINESS INTERRUPTION, LOSS OF BUSINESS OPPORTUNITIES OR LOSS OF DATA, WHETHER IN CONTRACT, NEGLIGENCE, TORT OR OTHERWISE, ARISING FROM THE USE OF OR INABILITY TO USE THE INSPECTION SERVICE. IN ADDITION, THE INSPECTION SERVICE PROVIDED BY THE INSPECTION COMPANY IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, AND THE PROMOTER HEREBY EXPRESSLY DISCLAIMS ANY AND ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO ANY WARRANTIES OF QUALITY, ACCURACY, RELIABILITY, MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE OR NON-INFRINGEMENT RELATED TO SUCH SERVICES EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES OR IF SUCH POSSIBILITY WAS REASONABLY FORESEEABLE. ALL SUCH WARRANTIES, REPRESENTATIONS, CONDITIONS, UNDERTAKINGS AND TERMS ARE HEREBY EXCLUDED. 

7. General Rules

1. In the event that the Promotion is ceased or suspended by the relevant authorities or due to serious network attack or system fault, the Promotion may be terminated prematurely. Such situation will be classified as a force majeure event and the Promoter shall not be liable for any damages or claims that arise out of the event.
2. You acknowledge and agree that the Promoter shall not be responsible, and shall have no liability to you or anyone else for any dispute or claim that arises out of your use of the Inspection Service.
3. By using the Inspection Service, you agree to be bound by these Terms. The Promoter is not responsible for any late, lost, delayed, incomplete, illegible, misdirected or undeliverable entries, responses, or other correspondence, whether by e-mail or otherwise. The Promoter reserves the right in its sole and absolute discretion to cancel, modify or suspend these Terms or the Promotion in whole or in part, without liability to you. The amended and restated Terms shall be effective immediately upon posting on the Promotional Page. After posting of the amended and restated Terms, your continued participation in this Promotion shall be deemed to be your acceptance of the amended and restated Terms.
4. The Promoter does not represent the Inspection Company will not be responsible for any damages or losses suffered by a Participant due to the Inspection Company’s failure to honor its services.
5. Inspection Company reserves the right to reject your use of the Inspection Service in its sole discretion at any time.
6. The Promoter reserves the sole and final right of interpretation of these Terms.
7. These Terms are governed by and construed in accordance with the laws of the Hong Kong Special Administrative Region ("Hong Kong") without regard to any of its conflict of law provisions. You and the Promoter hereby agree to submit to the exclusive jurisdiction of the courts of Hong Kong for any disputes that arise out of your use of the Inspection Service.
