Rules, Terms & Conditions (the “Official Rules”)
These Terms & Conditions apply to the “Global home week” promotional campaign, game, or event (each, a “Promotion”) being run on the Alibaba.com website (www.alibaba.com) (“Alibaba.com”).
The Promotion
Based on annual international trade data within Alibaba.com and offline exhibitions, the most popular trading categories in mid-year are Home & Garden, Home Textiles, Construction Materials, Bathroom & accessory, and Gift & Craft, etc. Alibaba.com organizes the “Global home week” to help global buyers and suppliers shorten procurement cycle. There are several highlights including “Sample with free shipping service to America” and “High-quality supplier e-booklet”.
Promoter
Alibaba.com Singapore E-Commerce Private Limited, a company incorporated in Singapore with registered office address at 10 Collyer Quay # 10-01, Ocean Financial Centre, Singapore 049315 (the “Promoter”).
Eligible Buyer
You must be a registered buyer of Alibaba.com, except that employees, officers and directors of the Promoter and their respective immediate family members, affiliated and subsidiary companies, any company involved in the Promotion, together with their agents are not eligible to enter.
Eligible Supplier
- Supplier must hold Paid Account (being a Chinese Gold Supplier on Alibaba.com)and the expiration date of its Member Services is no earlier than August 19, 2017;
- Supplier must activate trade assurance with no less than one (1) historical valid order with trade assurance (“valid order” being an order where a buyer has completed first payment or put it on account and the status of such order is normal not involving any litigation, closure or cancellation) ;
- Non-compliance scores of supplier’ all accounts on Alibaba.com is less than twenty four (24);
- Number of material intellectual property right infringement by the supplier is less than one (1).
Promotion Period
The Promotion begins on June 19, 2017 at 00:00:00 AM PST and ends on June 25, 2017 at 11:59:59 PM PST (the “Promotion Period”).
Promotion-specific Rules
- During Promotion Period, Eligible Supplier who has successfully applied for the “Sample with free shipping service to America” Promotion, needs to provide at least fifty (50) sample items for each product participating the Promotion. During Promotion Period, only each Eligible Buyer from the United State Internet Protocol (IP) address can order such sample item once, and the purchase quantity is limited to one (1). Purchase of such sample item would enjoy free shipping service to America.
- Alibaba.com only provides platform support, any fees and disputes related to purchase order should be settled between buyers and suppliers.
- During Promotion Period, Eligible Buyer should confirm and complete payment for sample product order (secure payment order) to enjoy free shipping service to America.
- Each Eligible Buyer can only enjoy free shipping service to America once for sample product order during the Promotion Period while stock lasts. Alibaba.com shall be entitled to regard (as determined in its sole and absolute discretion) Eligible Buyers that use the same or similar personal or technical information (including without limitations, identification documents, delivery recipient name, account address, communication details, IP address) as one single account; should this be the case, Alibaba.com shall be able to disqualify one or all of such Eligible Buyers’ Applicable Orders.
- In the event an Applicable Order is cancelled, closed or terminated for any reason or a dispute arises between the Eligible Buyer and Eligible Supplier, the free shipping service to America will automatically become void. Under such circumstances, buyers should take their own risk.
General Rules
- By participating in this Promotion, you agree to be bound by these Official Rules.
- Any fraud and/or abuse of offers received under the Promotion by you (as determined by the Promoter at its sole discretion) will result in forfeiture of your eligibility to the offers and/or cancellation of all or part of your account(s) with the Promoter.
- Time and validity of any transactions and/or your eligibility to the Promotion shall be determined by the Promoter at it sole discretion based on the Promoter’s record. If there is any discrepancy between the records of transaction held by you and that held by the Promoter, the Promoter’s record shall be conclusive and binding on you.
- In the event that the Promotion is ceased or suspended by the relevant authorities or due to serious network attack or system fault, the Promotion may be terminated prematurely. Such situation shall constitute a force majeure event and the Promoter shall not be liable for any damages or claims that arise out of the event.
- The Promoter is not responsible for any late, lost, delayed, incomplete, illegible, misdirected or undeliverable entries, responses, or other correspondence, whether by e-mail or otherwise.
- In the event that the Promotion becomes inoperable due to any computer network related reasons, you agree that the Promoter shall not be held liable for any damages.
- The Promoter reserves the right to amend these Official Rules as well as to vary or terminate any of the Offers without prior notice. In the event of disputes, the decision of the Promoter shall be final and binding.
- The Promoter reserves the right and absolute discretion to cancel or revoke your right to participate in a Promotion or use any Offers, upon discovery of your dishonest, malicious, fraudulent, unlawful or, in the opinion of the Promoter, inappropriate acts in its participation in any Promotion without liability to you.
Conflict of Terms and Conditions
- In case of any discrepancy in the content between the English and other non-English language versions of these Official Rules, the English version shall prevail.
- In the event that any of the terms under these Official Rules conflict with rules and/or any such related information displayed elsewhere on Alibaba.com, the terms under these Official Rules shall prevail.
Disclaimer
TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL THE PROMOTER BE LIABLE TO YOU FOR ANY DIRECT, INDIRECT, SPECIAL, INCIDENTAL, EXEMPLARY, PUNITIVE OR CONSEQUENTIAL DAMAGES (INCLUDING LOSS OF USE, DATA, BUSINESS OR PROFITS) ARISING OUT OF OR IN CONNECTION WITH YOUR PARTICIPATION IN THIS PROMOTION, WHETHER SUCH LIABILITY ARISES FROM ANY CLAIM BASED UPON CONTRACT, WARRANTY, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY OR OTHERWISE, AND WHETHER OR NOT SPONSOR HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH LOSS OR DAMAGE.
Disputes
You acknowledge and agree that the Promoter or any of its affiliates shall not be responsible, and shall have no liability to it or anyone else for any dispute or claim that arises out of the your participation in the Promotion.
Governing Law
You agree that this Promotion is governed, interpreted and enforced by the laws of Hong Kong, without regard to its conflict of laws principles. Any and all legal actions, claims or proceedings arising out of, or in connection with this Promotion must be brought in a court of competent jurisdiction in Hong Kong.
